RETAINER FEE

I agree to be invoiced and pay a nonrefundable 20% of the invoice that has been sent through PayPal as a retainer, which will be deducted from the final invoice.

REMAINDER OF BALANCE

The individual/company agrees to pay the remainder of the contract (the “Remaining Balance”) at least thirty (30) days after the completion of the project, which will be specified on the invoice. Failure to pay the remaining balance shall be deemed a breach of this contract.

TRAVEL FEES

All driving mileage to and from Honeysuckle Collective's business address to the project site for content shall incur travel fees. "Travel Fees" shall be included in the Remaining Balance unless otherwise noted. The individual/company recognizes that additional mileage and travel fees may apply if they need to be scheduled or changed from the originally content-scheduled location. In the event Travel Fees are not included in this Contract, Honeysuckle Collective shall provide a Travel Fee estimate in writing to be approved by the signee, and the individual/company shall reimburse all travel fees within ten (10) days of receipt. In the event Honeysuckle Collective incurs any Travel Fees in preparation for a project that is later rescheduled or deemed a Cancellation for any reason whatsoever, the signee shall reimburse all expenses within ten (10) business days of the termination. This includes but is not limited to flights, hotel fees, rental cars, ferry fees, etc.

PLEASE READ AND ACCEPT THE TERMS OF THE FOLLOWING STATEMENTS

1. The following constitutes the Agreement with Honeysuckle Co. Media (the “Photographer, Videographer”). Please read the Agreement in its entirety and contact Honeysuckle Co. Media if you have any questions or concerns about the Agreement. As used in the Agreement, all references to “you” or “your” or the “Client” refer to the signer of this Agreement. Checking the boxes and entering your name below will serve as your electronic signature, reflecting your assent to the terms and conditions of the Agreement. You can preview the Agreement before its submission, at which time you are encouraged to print a copy for your records.

2. Artistic Style. On its own behalf and on behalf of the subject: The client acknowledges that he/she is familiar with the Honeysuckle Co. Media portfolio and is requesting services with knowledge of the company’s style and that Honeysuckle Co. Media's work is constantly evolving; that the Honeysuckle Co. Media's services are of a unique and artistic nature; that the video may be different from videos done by the company in the past; and that in creating the videos we shall use our own creative artistic judgment to create videos consistent with our personal judgment and consistent with our vision of the event, which may be different from the clients and or the subject’s vision of the event. Accordingly, the client acknowledges that the videos shall not be subject to rejection based on taste or esthetic criteria.

3. If Honeysuckle Co. Media fails to comply with the terms of this agreement due to any event or at beyond the control of Honeysuckle Co. Media including but not limited to illness, accident, labor disputes, acts of God and other catastrophes, or uncontrollable and unforeseeable equipment failure, Honeysuckle Co. Media's liability is limited only to a refund of all monies received.

4. The client reserves the right to terminate the contract for any reason up to 14 days after the down payment date. Should the client terminate the agreement, all money paid minus the retainer, which is 20%, will be refunded.

5. CONFIDENTIAL INFORMATION. "Confidential Information" means any information or material proprietary to the client, whether owned or developed by the client, and which Honeysuckle Co. Media may be obtained through direct or indirect contact with the signee and/or client.

A. Confidential Information includes, without limitation: Business records, plans and product design, and information and other proprietary information.

B. Confidential Information does not include: Matters of public knowledge that result from disclosure by the client. Information rightfully received by Honeysuckle Co. Media from a third party without a duty of confidentiality. Information independently developed by Honeysuckle Co. Media. Information disclosed by operation of law. Information disclosed by Honeysuckle Co. Media with the prior written consent of the signee or client and any other information that both parties agree in writing is not confidential.

6. PROTECTION OF CONFIDENTIAL INFORMATION. Honeysuckle Co. Media understands and acknowledges that the Confidential Information has been developed or obtained by the signee and/or client through the investment of significant time, effort, and expense and that the Confidential Information is a valuable, special, and unique asset of the signee which provides the client with a significant competitive advantage and needs to be protected from improper disclosure. In consideration of the disclosure of Confidential Information, Honeysuckle Co. Media agrees to hold in confidence and not disclose Confidential Information to any person or entity without the prior written consent of the signee and/or client.

A. In addition, Honeysuckle Co. Media agrees that it will not copy or modify any Confidential Information without the client's prior written consent. Further, you shall not disclose any Confidential Information to any employees except those who are required to have it to perform their job duties in connection with the limited purposes of this Agreement. Each permitted employee to whom Confidential Information is disclosed shall sign a non-disclosure agreement substantially the same as this Agreement at the client's request.

B. Unauthorized Disclosure of Information. If it appears that Honeysuckle Co. Media has disclosed (or threatened to disclose) Confidential Information in violation of this Agreement, the signee and/or client shall be entitled to an injunction to restrain Honeysuckle Co. Media from disclosing, in whole or in part, the Confidential Information. This provision shall not prohibit the client from pursuing other remedies, including a claim for losses and damages.

7. RETURN OF CONFIDENTIAL INFORMATION. Upon the client's written request, Honeysuckle Co. Media shall email the entire contract for all written materials containing the Confidential Information to the client.

8. LIMITED LICENSE TO USE. Honeysuckle Co. Media shall not acquire any intellectual property rights under this Agreement except the limited right to use. Honeysuckle Co. Media acknowledges that as between the signee and/or client and Honeysuckle Co. Media, the Confidential Information and all related copyrights and other intellectual property rights are (and at all times will be) the property of the client, even if suggestions, comments, and/or ideas made by Honeysuckle Co. Media are incorporated into the Confidential Information or related materials during the period of this Agreement.

9. GENERAL PROVISIONS. This Agreement sets forth the parties' entire understanding regarding confidentiality. The confidentiality obligations shall survive indefinitely from the date of disclosure of the Confidential Information. Any amendments must be in writing and signed by both parties. This Agreement shall be construed under the laws of the State of Indiana. This Agreement shall not be assignable by either party, and neither party may delegate its duties under this Agreement without the prior written consent of the other party. The confidentiality provisions of this Agreement shall remain in full force and effect after the effective date of this Agreement.
