Honeysuckle Co. will provide marketing services for Goodman Management Group, including but not limited to:

Social Media Management: Overseeing and executing content strategy across all platforms, creating posts, graphics, and copy, and monitoring engagement metrics.
Social Media Committee Leadership: Leading the social media committee by coordinating team efforts, facilitating collaboration, and ensuring alignment with overall marketing goals.
Content Gathering: Traveling quarterly as needed to capture photos, videos, and other relevant content for use across digital channels.
Brand Cohesiveness: Establishing and maintaining a consistent brand identity across all platforms, ensuring that messaging, visuals, and tone reflect Goodman Management Group’s values and objectives.

Honeysuckle Co. will work closely with Goodman Management Group to align marketing initiatives with the company’s overall vision, objectives, and messaging standards.

$150/hr for 20 hours a month

Honeysuckle Co. shall be paid on the first (1st) day of each calendar month (“Payment Date”) for services rendered in the preceding month. In the event that the Payment Date falls on a federal holiday or weekend, payment shall be made on the next business day immediately following.

If payment is not received within five (5) business days after the applicable Payment Date, this Agreement shall be deemed terminated by Goodman Management Group, and Honeysuckle Co. shall have no further obligation to perform services under this Agreement.

TRAVEL FEES

In addition to the fees set forth in this Agreement, Goodman Management Group shall be responsible for all reasonable and necessary travel-related expenses incurred by Honeysuckle Co. in connection with the performance of services under this Agreement. Such expenses may include, but are not limited to, airfare, lodging, ground transportation (including rental car, rideshare, or taxi services), parking, meals, and other customary travel costs. All travel expenses shall either (a) be pre-approved in writing by Goodman Management Group and reimbursed to Honeysuckle Co. within ten (10) business days of submission of proper documentation/receipts, or (b) be directly paid for by Goodman Management Group in advance.

PLEASE READ AND ACCEPT THE TERMS OF THE FOLLOWING STATEMENTS

1. AGREEMENT OVERVIEW AND ACCEPTANCE. The following constitutes the Agreement between Goodman Management Group (“Client”) and Honeysuckle Co. Media (the “Photographer, Videographer, Web Designer, Graphic Designer”). Please read this Agreement in its entirety and contact Honeysuckle Co. Media if you have any questions or concerns. As used in this Agreement, all references to “you,” “your,” or “Client” shall refer to Goodman Management Group. Checking the boxes and entering your name below shall serve as your electronic signature, reflecting your assent to the terms and conditions of this Agreement. You may preview the Agreement before submission, and you are encouraged to print or save a copy for your records.

2. ARTISTIC STYLE. Goodman Management Group acknowledges that it is familiar with the portfolio of Honeysuckle Co. Media and is requesting services with full knowledge of the company’s style. Goodman Management Group further acknowledges and agrees that Honeysuckle Co. Media’s work is constantly evolving; that its services are of a unique and artistic nature; and that any videos, photographs, or designs produced may differ from work previously created by Honeysuckle Co. Media. In creating such work, Honeysuckle Co. Media shall use its own creative and artistic judgment to produce deliverables consistent with its personal standards and vision of the project or event, which may differ from the vision or expectations of Goodman Management Group or any subject(s) involved. Accordingly, Goodman Management Group acknowledges that the final deliverables shall not be subject to rejection on the basis of taste, aesthetic preferences, or artistic criteria.

3. LIMITATION OF LIABILITY. If Honeysuckle Co. Media fails to comply with the terms of this Agreement due to circumstances beyond its control, including but not limited to illness, accident, labor disputes, acts of God, natural disasters, or unforeseeable equipment failure, Honeysuckle Co. Media’s liability shall be limited solely to the return of all monies received from Goodman Management Group under this Agreement. No further liability or damages, whether consequential, incidental, or otherwise, shall be attributable to Honeysuckle Co. Media.

4. CONFIDENTIAL INFORMATION. "Confidential Information" means any information or material proprietary to the client, whether owned or developed by the client, and which Honeysuckle Co. Media may be obtained through direct or indirect contact with the signee and/or client.

A. Confidential Information includes, without limitation: Business records, plans and product design, and information and other proprietary information.

B. Confidential Information does not include: Matters of public knowledge that result from disclosure by the client. Information rightfully received by Honeysuckle Co. Media from a third party without a duty of confidentiality. Information independently developed by Honeysuckle Co. Media. Information disclosed by operation of law. Information disclosed by Honeysuckle Co. Media with the prior written consent of the signee or client and any other information that both parties agree in writing is not confidential.

5. PROTECTION OF CONFIDENTIAL INFORMATION. Honeysuckle Co. Media understands and acknowledges that the Confidential Information has been developed or obtained by the signee and/or client through the investment of significant time, effort, and expense and that the Confidential Information is a valuable, special, and unique asset of the signee which provides the client with a significant competitive advantage and needs to be protected from improper disclosure. In consideration of the disclosure of Confidential Information, Honeysuckle Co. Media agrees to hold in confidence and not disclose Confidential Information to any person or entity without the prior written consent of the signee and/or client.

A. In addition, Honeysuckle Co. Media agrees that it will not copy or modify any Confidential Information without the client's prior written consent. Further, you shall not disclose any Confidential Information to any employees except those who are required to have it to perform their job duties in connection with the limited purposes of this Agreement. Each permitted employee to whom Confidential Information is disclosed shall sign a non-disclosure agreement substantially the same as this Agreement at the client's request.

B. Unauthorized Disclosure of Information. If it appears that Honeysuckle Co. Media has disclosed (or threatened to disclose) Confidential Information in violation of this Agreement, the signee and/or client shall be entitled to an injunction to restrain Honeysuckle Co. Media from disclosing, in whole or in part, the Confidential Information. This provision shall not prohibit the client from pursuing other remedies, including a claim for losses and damages.

6. RETURN OF CONFIDENTIAL INFORMATION. Upon the client's written request, Honeysuckle Co. Media shall email the entire contract for all written materials containing the Confidential Information to the client.

7. LIMITED LICENSE TO USE. Honeysuckle Co. Media shall not acquire any intellectual property rights under this Agreement except the limited right to use. Honeysuckle Co. Media acknowledges that as between the signee and/or client and Honeysuckle Co. Media, the Confidential Information and all related copyrights and other intellectual property rights are (and at all times will be) the property of the client, even if suggestions, comments, and/or ideas made by Honeysuckle Co. Media are incorporated into the Confidential Information or related materials during the period of this Agreement.

8. GENERAL PROVISIONS. This Agreement sets forth the parties' entire understanding regarding confidentiality. The confidentiality obligations shall survive indefinitely from the date of disclosure of the Confidential Information. Any amendments must be in writing and signed by both parties. This Agreement shall be construed under the laws of the State of Indiana. This Agreement shall not be assignable by either party, and neither party may delegate its duties under this Agreement without the prior written consent of the other party. The confidentiality provisions of this Agreement shall remain in full force and effect after the effective date of this Agreement.
